01Introduction
These terms apply to your use of this website and, together with any engagement letter we issue, to the advisory services we provide. Where an engagement letter conflicts with these terms, the engagement letter prevails for that engagement.
02Scope of services
We provide corporate establishment, compliance and governance support, banking and payment-provider readiness, tax and HMRC support, strategic structuring advice and ongoing corporate support. The precise scope of any engagement is defined in writing before work begins. Work outside that scope is quoted separately.
03Advisory relationship
We act as an independent advisory practice. We are not a firm of solicitors, we are not regulated accountants, and we do not provide regulated financial advice. Where a matter requires regulated legal, audit or investment advice we will say so and, if you wish, help you appoint an appropriate specialist.
04Client responsibilities
You agree to provide accurate, complete and timely information and to notify us promptly of changes. We rely on the information you supply and are not responsible for outcomes arising from information that is inaccurate, incomplete or withheld.
05Identity verification
Before commencing work we complete identity and, where relevant, source-of-funds checks. We may decline or discontinue an engagement where verification cannot be completed to our satisfaction. Please see our AML and Identity Verification Policy.
06Fees and payment
Advisory fees are quoted transparently in advance and are payable before work commences unless agreed otherwise. Recurring services, such as address arrangements, are quoted annually and renew on the agreed date. Government filing fees and third-party costs are payable in addition unless expressly stated as included.
07Third-party providers
Where we introduce you to banks, payment providers, accountants, insurers or other third parties, you contract with them directly. Their terms, decisions and service standards are their own, and we accept no liability for them.
08Banking and payment-provider applications
We prepare and present applications to a professional standard. Acceptance is always at the sole discretion of the institution concerned, applying its own risk appetite and regulatory obligations. No outcome is promised, implied or guaranteed.
09Companies House filings
Filings are submitted on your instructions and on the basis of the information you approve. Statutory processing times, verification requirements and rejection decisions rest with Companies House. Where a filing is rejected for reasons within our control we will correct and resubmit at no additional advisory fee.
10Intellectual property
All content on this website, including text, editorial insights, imagery and design, is owned by or licensed to UK Business Experts Ltd and may not be reproduced, republished or used commercially without written permission. Documents prepared for you may be used for your own business purposes.
11Confidentiality
All information relating to your business is treated as confidential and is disclosed only with your authority, to fulfil your instructions, or where required by law or regulation. Confidentiality obligations survive the end of the engagement.
12Limitation of liability
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for any liability that cannot lawfully be limited. Subject to that, our aggregate liability for any engagement is limited to the fees paid for that engagement, and we are not liable for indirect or consequential loss, loss of profit, loss of opportunity, or losses arising from third-party decisions.
13Force majeure
We are not liable for delay or failure caused by events beyond our reasonable control, including government or registry outages, banking system failures, industrial action, civil emergency or interruption to communications infrastructure.
14Governing law
These terms and any engagement are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute.
