Business Challenge
The company had begun conversations with enterprise buyers and public-sector bodies in the United Kingdom, both of which expected a UK contracting entity before procurement could proceed. A future funding round was anticipated within eighteen months, so any structure created would need to survive investor diligence rather than merely satisfy the immediate contractual requirement.
Our Advisory
Our work began with the ownership question rather than the filing. We examined how the UK entity should sit relative to the existing parent, what that would mean for future share issuance, and how enterprise and government reviewers would read the corporate record.
